Terms of Service for Paid Access to OceanTheme Repository
These Terms of Service set out the terms and conditions for paid access to the OceanTheme website and the Materials Repository available at https://www.oceantheme.org/.
Where the concept of a public offer is recognized by applicable law, these Terms may constitute a public offer. In all other cases, these Terms form an agreement between the Website Administration and the person who registers on the Website, places an order, pays for a selected plan, or otherwise uses paid Access.
By registering on the Website, placing an order, paying for a selected plan, ticking the relevant confirmation checkbox, or using paid Access, the User accepts these Terms in full, without reservations or exceptions.
1. Definitions
Website — the OceanTheme website available at https://www.oceantheme.org/, including all of its sections, subdomains, services, user account area, forms, pages, and any other functions accessible through it.
Administration / Provider / Seller — the person administering the Website and providing access to its functionality and the Materials Repository. The Provider’s details are specified in Section 15 of these Terms.
User / Customer — an individual or legal entity using the Website and/or placing an order on the Website. If, by the meaning of certain provisions of these Terms, a provision applies only to an individual, such provision shall apply to the relevant category of Users.
Account — the User’s account on the Website.
Plan / Subscription / Membership — conventional marketing designations used for the access option selected by the User for the Website and the Materials Repository for a certain period and/or subject to certain limits. These designations are used solely as the name of the pricing plan and do not mean corporate membership, participation in an association, transfer of an ownership interest, or automatic renewal or recurring automatic charges, unless expressly stated otherwise on the payment page.
Materials Repository — a structured electronic storage facility (catalogue) of files and materials available on the OceanTheme website, including templates, extensions, plugins, components, modules, archives, accompanying materials, descriptions, translations, updates, instructions, and other digital materials, access to which is provided within the selected plan.
Access — granting the User the ability to sign in to the Website, use the Website’s functionality, and access the Materials Repository within the scope provided by the selected plan.
Payment Partner — an external payment service, acquiring bank, aggregator, or other entity through which payments are accepted on the Website.
2. General Provisions
2.1. These Terms govern the relationship between the Website Administration and the User in connection with using the Website, registering an Account, placing an order, making payment, and using the granted Access.
2.2. Before using the Website, registering an Account, placing an order, or making payment, the User must review these Terms, the Privacy Policy, and any other material information posted on the Website.
2.3. If the User does not agree to these Terms, the User must refrain from registering, making payment, and using paid Access.
2.4. These Terms apply to the extent that they do not conflict with mandatory legal provisions applicable to the User as a consumer. If mandatory provisions of applicable law grant the User additional rights, such provisions shall prevail to the relevant extent.
2.5. The Website is intended for users who are legally capable of entering into a binding agreement under the laws applicable to them. By using paid Access, the User confirms that they have the legal capacity and authority to do so.
3. Subject Matter of these Terms
3.1. The Administration grants the User, for a fee, time-limited and/or condition-limited Access to the Website, the personal account area, and the Materials Repository in accordance with the selected plan.
3.2. The payment charged under these Terms is not a payment for the transfer of exclusive rights and does not constitute a sale of copyright in software, templates, extensions, plugins, modules, components, or other digital materials owned by third parties.
3.3. The User is informed and agrees that, under these Terms, the Administration provides paid digital access to the Website’s Materials Repository and also ensures the operation of the Website infrastructure, the systematization of materials, search organization, access support, searching for and posting updates, and other related service support.
3.4. All files and digital materials access to which is provided through the Website’s Materials Repository within the selected plan are distributed by the respective rights holders under the terms of the GNU/GPL license, unless expressly stated otherwise on the page of a specific item.
3.5. The Administration does not claim to acquire, and does not transfer to the User, any exclusive rights in third-party intellectual property, nor does it restrict any rights of the User that are expressly granted under the relevant rights holder’s license, including GNU/GPL.
4. Registration and Account
4.1. To obtain paid Access, the User registers an Account on the Website and provides the requested data.
4.2. The User must provide accurate data and keep it up to date.
4.3. During registration, the Website may require the User to tick a confirmation checkbox. By ticking such checkbox, the User confirms that they have read and agree to the Privacy Policy, these Terms, and, where the checkbox text so provides, the receipt of service, informational, and promotional messages from OceanTheme at the email address provided by the User.
4.4. The User is solely responsible for keeping their login, password, and any other means of access to the Account secure, as well as for all actions performed through the Account, unless proven otherwise.
4.5. Sharing Account access with third parties, providing shared access to the personal account area, bypassing the Website’s technical restrictions, or using the Account for mass redistribution of access or any other abuse is not permitted.
4.6. If signs of unauthorized Account use, hacking, transfer of access to third parties, automated parsing, abnormal load, fraud, abuse of payment instruments, or any other actions that pose a threat to the Website, its Users, or the Administration are detected, the Administration may temporarily restrict access to the Account until the circumstances are clarified.
5. Plans, Payment and Access Activation
5.1. Current plans, access periods, limits, restrictions, the scope of available sections, pricing, and other conditions are specified on the relevant pages of the Website and/or on the checkout page.
5.2. By placing an order, the User confirms that they have reviewed the parameters of the selected plan, including its term, any download limits, the scope of sections, and the price.
5.3. Payment is made in non-cash form through the payment services and aggregators indicated on the Website. The specific payment methods available are determined by the payment page and the Payment Partner’s settings at the time of payment.
5.4. To make a payment, the User may be redirected to a secure page of the Payment Partner. The User enters bank card details, payment codes, transaction confirmation data, and other payment information not on the OceanTheme website, but through the relevant Payment Partner.
5.5. The Website Administration does not collect, process, or store full bank card details of Users on its side, including card number, expiration date, cardholder name, and CVC/CVV code.
5.6. Unless expressly stated otherwise on the Website, all payments are one-time payments. Automatic renewal and recurring automatic charges do not apply under these Terms.
5.7. Renewal of Access, if provided for on the Website, is arranged by the User separately and is treated as a new independent order.
5.8. The Administration’s obligation to provide Access shall be deemed fulfilled from the moment the paid plan is actually activated in the User’s Account or from the moment the User is given the opportunity to use Access in accordance with the selected plan.
5.9. The User is responsible for paying taxes, duties, bank fees, and other mandatory charges, if such charges are payable in connection with the purchase under applicable law, unless expressly stated otherwise on the payment page.
5.10. A document confirming payment or settlement shall be provided to the User in the manner prescribed by applicable law and the payment infrastructure used.
6. Terms of Access
6.1. Access is granted within the scope valid on the date of activation of the relevant plan and for the duration of its validity period.
6.2. The Materials Repository on the Website is dynamic: the composition of sections, availability of specific files, versions of materials, structure, access conditions for specific items, descriptions, classifications, and other parameters may change.
6.3. Unless expressly stated otherwise on a specific page of the Website, the Administration does not guarantee the continued availability of any individual file, specific version, specific developer, specific update, or specific timeline for the release of an update.
6.4. If a plan includes download limits, such limits shall apply in the manner indicated on the page of the relevant plan. If such limits are not used during the validity period of the plan, they shall not carry over after expiration unless expressly stated otherwise on the Website.
6.5. The User independently ensures the availability of the equipment, software, browser, internet access, and other technical conditions necessary to use the Website and the materials obtained.
6.6. The Administration may carry out maintenance, technical, and other work necessary for the normal functioning of the Website. Where possible, such work will be performed at a reasonable time; however, short-term unavailability of the Website in itself shall not constitute a breach of these Terms.
7. Refund Policy
7.1. The User understands and accepts that, under these Terms, a digital product is provided in the form of paid time-limited access to the Website’s Materials Repository, as well as to the functionality of the personal account area and related Website services.
7.2. Such digital access may be provided immediately after payment. By placing an order and paying for Access, the User agrees to the immediate commencement of performance in the part concerning the provision of digital access after payment confirmation. If applicable law provides for a right to withdraw from or revoke a contract for the supply of digital content, the User agrees that, after Access has actually been provided, such right may be limited or terminated to the extent permitted by mandatory provisions of applicable law.
7.3. Due to the digital nature of the Access provided and the fact that the User obtains the ability to immediately use the Materials Repository and the Website functionality, refunds shall, as a general rule, not be issued after Access has actually been provided.
7.4. The mere fact that, after activation of Access, the User did not download files, did not use the personal account area, changed their mind, incorrectly assessed compatibility of the materials with their infrastructure, or was unable to use the materials for reasons on their side shall not constitute grounds for a refund.
7.5. Exceptionally, and only on an individual basis, the Administration may consider a refund request, in particular in the following cases:
- duplicate or erroneous payment;
- Access was not provided due to the fault of the Administration;
- a significant technical issue occurred on the Website side, making it impossible to provide the core paid Access, and such issue was not remedied within a reasonable period;
- other cases where a refund is mandatory under applicable mandatory law.
7.6. To have a request considered, the User shall send a message using the contacts specified in these Terms with data sufficient to identify the Account, order, and payment.
7.7. When reviewing a request, the Administration may verify the payment circumstances, Account status, the fact of Access being granted, authorization logs, service usage information, download data, and other objective information relevant to the disputed situation.
7.8. Refunds shall not be issued where the Website or the materials cannot be used for reasons beyond the Administration’s control, including incompatibility with the User’s infrastructure, hosting configuration, conflicts with third-party software, actions of rights holders, provider restrictions, blocks imposed by third parties, lack of necessary user skills, and other circumstances on the User’s side.
7.9. If a refund is approved, the funds shall be returned by the method and under the rules permitted by applicable law, the Payment Partner’s rules, and the actual circumstances of the disputed payment.
8. GNU/GPL, Rights to the Materials and Limitation of Liability
8.1. All files and digital materials access to which is provided through the Website’s Materials Repository within the selected plan are distributed by the rights holders under the terms of the GNU/GPL license, unless expressly stated otherwise on the page of a specific item.
8.2. The Administration does not sell exclusive rights in such materials, does not claim authorship of them unless expressly stated otherwise, and does not alter the scope of the User’s rights already granted under the relevant rights holder’s license.
8.3. The User independently determines the legality, appropriateness, and technical feasibility of using the obtained materials on their websites, servers, and other systems.
8.4. The Administration is responsible for the operation of its own Website and access service to the extent reasonably within its control, but is not responsible for:
- the operability, quality, security, relevance, completeness, or suitability of third-party code created by third parties;
- the consequences of installation, configuration, modification, or use by the User of materials on their websites, servers, and other systems;
- losses caused by conflicts between the materials and hosting, CMS, third-party themes, extensions, modules, plugins, server environment, PHP versions, databases, browsers, and other software;
- changes by rights holders to licensing terms, support, distribution, or updates of materials;
- the User’s subjective expectations regarding functionality, design, compatibility, commercial value, or other characteristics of third-party materials.
8.5. Unless expressly stated otherwise on a specific page of the Website, the materials and access to them are provided on an “as is” basis with respect to third-party digital materials and their characteristics.
8.6. Unless expressly stated otherwise on the Website, the Administration is not obliged to provide individual services for installation, configuration, modification, adaptation, programming, or support of materials downloaded by the User.
8.7. Trademarks, trade names, project names, logos, and other designations belong to their lawful rights holders.
9. Website Usage Rules
9.1. The User undertakes to use the Website in good faith and not to perform actions that violate applicable law, third-party rights, the stability of the Website’s operation, or the interests of the Administration.
9.2. The following are prohibited on the Website:
- attempts to gain unauthorized access to other users’ Accounts;
- the use of bots, scripts, parsers, or other tools that create an unreasonable load on the Website or bypass its restrictions;
- mass downloading of materials in circumvention of the Website’s intended logic;
- interference with the operation of the Website, forms, pages, payment mechanisms, and infrastructure;
- distribution of malicious code;
- use of the Website for fraudulent activities;
- abuse of support, threats, insults, or other bad-faith conduct.
9.3. In the event of a breach of these Terms, the Administration may restrict use of the Website, temporarily suspend Access, request additional verification, or terminate Access to the extent permitted by applicable law.
10. Personal Data
10.1. The User’s personal data is processed in accordance with the Privacy Policy published on the Website.
10.2. By registering, placing an order, making payment, and submitting requests through Website forms, the User confirms that they have read the Privacy Policy.
10.3. The Website may use cookies and similar technologies necessary for Website operation, authorization, security, analytics, and service improvement. The use of cookies is described in the Privacy Policy and, where applicable, in the cookie banner or cookie settings available on the Website.
10.4. Where applicable law requires consent for personal data processing, cookies, analytics, or marketing communications, such consent may be obtained through checkboxes, cookie banners, account settings, subscription forms, checkout confirmations, or other Website mechanisms.
10.5. The Administration may send the User service messages related to registration, Account access, security, password recovery, paid Access, payment confirmation, refunds, technical issues, Website operation, changes to these Terms, and other matters connected with the User’s use of the Website.
10.6. The Administration may also send informational and promotional messages about OceanTheme, Website updates, new or updated materials, Plans, offers, promotions, and related services to the email address provided by the User where the User has agreed to receive such messages during registration, checkout, subscription, or other Website interaction, or where such communication is otherwise permitted by applicable law.
10.7. If the registration or checkout form contains a checkbox stating that the User agrees to these Terms, the Privacy Policy, and receipt of service, informational, and promotional messages, ticking that checkbox is treated as the User’s confirmation of consent to receive such messages at the email address provided by the User.
10.8. The User may opt out of informational and promotional messages at any time by using an unsubscribe link, replying to the message where technically supported, or contacting the Administration through the contact details provided on the Website. Opting out of promotional messages does not prevent the Administration from sending service messages necessary for the Account, Access, payments, security, or legal notices.
11. Exchange of Legally Significant Communications
11.1. Legally significant notifications, demands, claims, and requests may be sent using the contact details and particulars specified in Sections 14 and 15 of these Terms, as well as through the Website feedback page, provided this does not contradict the nature of the relevant communication.
11.2. The User bears the risk of not receiving messages sent to the email address provided during registration if such risk arose as a result of inaccurate data, a full mailbox, filtering settings, or other circumstances on the User’s side.
12. Dispute Resolution Procedure
12.1. The parties shall seek to resolve disputes and disagreements through negotiations and by exchanging communications via the contacts specified in Sections 14 and 15 of these Terms.
12.2. If a dispute cannot be settled out of court, it shall be resolved at the place of registration or principal place of business of the Seller, unless otherwise required by mandatory consumer protection law or other mandatory provisions applicable to the User.
12.3. Nothing in these Terms limits any mandatory rights or remedies that cannot be excluded under applicable law.
13. Amendments to these Terms
13.1. The Administration may amend these Terms unilaterally.
13.2. A new version of these Terms enters into force from the moment it is posted on the Website, unless another effective date is specified in that version itself.
13.3. The version of these Terms in effect at the time the relevant order was placed shall apply to a plan that has already been paid for, unless otherwise required by mandatory law or by the nature of the obligation.
